USER GENERATED CONTENT SUBMISSION TERMS

Barebells is excited you are interested in sharing your content about our products and brand. Please read carefully the terms and conditions that follow. These User-Generated Content Submission Terms (the "Terms") is a binding agreement between you ("You") and Vitamin Well USA, LLC, a Delaware limited liability company (the "Company", "we", "our" or "Barebells").

BY SUBMITTING AN APPLICATION OR CONTINUING TO SUBMIT UGC (DEFINED BELOW) TO BAREBELLS, YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS; (B) REPRESENT THAT YOU ARE OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT; AND (C) ACCEPT THESE TERMS AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT APPLY TO OR PARTICIPATE IN THE PROGRAM. SUBMITTING AN APPLICATION AND MEETING THE ELIGIBILITY REQUIREMENTS DOES NOT GUARANTEE ACCEPTANCE.

1. ELIGIBILITY

Employees of Barebells, our parent company, affiliates, subsidiaries, individuals or entities contractually obligated to provide content to Barebells are not eligible to participate in this program or receive any compensation pursuant to these Terms. We reserve the right, in our sole discretion, to determine eligibility for and participation in this program and may suspend, restrict, remove, or terminate any participant's eligibility or participation at any time, with or without notice and for any reason or no reason. Such removal or termination will not affect any rights or licenses granted to Barebells with respect to any UGC submitted prior to the effective date of such removal or termination. Reasons for termination include, but are not limited to, (a) You and another content creator that has agreed to these Terms are members of the same household, (b) You fail to submit any UGC (defined below) within thirty (30) days of the date you agree to these Terms, or (c) Your social media account is private (e.g., not viewable to the public).

You represent and warrant that You own or have the right to license to Barebells pursuant to the terms herein all the video or audio visual content, footage and photographs filmed, captured and/or recorded by You, or otherwise filmed, captured and/or recorded, including any rights to the music contained therein, including the right to exploit any master recordings and underlying musical compositions as synchronized to the user generated content and the public performance rights for such user generated content and submitted by You to Barebells through any delivery means prescribed by us (together, the "UGC"). Barebells wishes to license and You desire to grant us a license to include, exhibit, display, reproduce or distribute the UGC for any and all purposes, including commercial purposes, and including but not limited to the marketing, promoting and advertising of the Barebells brand, products and services, monetization of content through paid advertising, boosting, whitelisting, and other means. Such a license further includes, among other things, the right for Barebells to incorporate the UGC in video or audio visual content, text, graphics, artwork, photographs, templates, and other content or materials created by or on behalf of Barebells, its affiliates, or its licensees (the "Barebells Network") to create what is referred to herein as the "Barebells Network Materials."

These Terms also governs our use of the name, nickname, likeness, rights of publicity, voice, live or recorded performance, autograph, photographs and biographical information of You or any third parties ("Appearances") as included in the UGC. You represent and warrant that You have obtained the appropriate licenses, permissions, and/or releases from all people that recognizably appear in the Content, including the real names, nicknames, likenesses, voices, live or recorded performances, autographs, photographs and biographical information of such third party individuals, and the owner of any music, images, video, audio, photos, text, or other material embedded within the UGC. If your UGC contains photographs or digital or video images that depict a child that is under the age of majority in their state of residence, You represent that You have written permission from the minor's parent or guardian to provide the photo, digital, or video image for commercial use.

The privacy policy located at Barebells Privacy Policy | Your Data & Rights | Barebells – Barebells US ("Privacy Policy") will also govern the relationship between You and us. In the event of any inconsistency or conflict between the Privacy Policy and these Terms, the terms and conditions of these Terms shall prevail.

2. LICENSE GRANT

Submitting UGC means that You hereby grant to Barebells, with a right to sublicense for commercial use, a perpetual, worldwide, unlimited, irrevocable, transferable, assignable, royalty-free, fully-paid license for Barebells to use that UGC and Your Appearances or other identifying information in connection with Your UGC, and the right to record, copy, publicly perform, broadcast, exhibit, transmit, distribute create derivate works and otherwise exploit any master recordings and underlying musical compositions as synchronized to the UGC and provide the public performance rights for such UGC, for any purpose, including but not limited to any commercial advertising, in any manner or media now or later developed, including, without limitation, the rights enumerated below:

(a) to reproduce, modify, display and prepare derivative works, publicly perform, publicly display, distribute, broadcast, transmit and otherwise use the UGC, in whole or in part, whether or not within or in connection with the Barebells Network Materials, for any purpose, in any and all media now known or hereafter created, including, but not limited to, the following (collectively, the "Licensed Uses"):

i. Online / Mobile: All forms of transmission over the Internet, mobile carrier networks, satellite networks or other method of connectivity (as defined below), including, without limitation, all forms of streaming technologies and downloads accessible on or through any and all websites, applications, gaming and/or media platforms, social media services and/or other offerings made available by the Barebells Network (collectively, "Online Media");

ii. PR/Industrial / Retail: All public relations, media outreach and/or industrial uses, including, without limitation, the exhibition, performance and other use of the Content and Appearances at retail establishments (e.g., "point-of-sale" and "point-of-purchase" displays), kiosks, trade shows, conventions, sales and/or marketing meetings and other industrial and/or promotional events;

iii. Print Media: The display and other use of Barebells Network Materials in and in connection with all forms of print media, including, without limitation, catalogues, newspaper and magazine articles, editorials, advertising and circulars, merchandise packaging and product manuals;

iv. Television: All forms of television media, whether linear or on-demand (including, without limitation, all forms of local, regional and network broadcast, pay, cable, satellite and internet protocol television);

v. Commercials: by means of Online Media, radio and Television in audiovisual works as commercial(s), produced by the Barebells Network;

vi. Internal Usage: internal usage for testing and system improvements by Barebells and companies in the Barebells Network and

vii. Other Uses: Any other exhibition, display, performance, communication to the public, distribution, exploitation or other use of the Content and/or Appearances not set forth above.

(b) to the extent that You or any third party recognizably appear in the Content, to use the Appearances, in or in connection with UGC or the Barebells Network Materials, in any and all media now known or hereafter created, including, but not limited, for the Licensed Uses for any purpose and as necessary to exercise the rights granted in these Terms. Subject to applicable laws, You waive any moral and privacy rights that You or Your licensors may have in any UGC.

3. USE OF YOUR UGC

Submission of UGC to Barebells is not a guarantee that Barebells will publish or otherwise use the Content. For clarity, as part of the Licensed Uses, We may use Your Content, in whole or in part or as part, as set forth in these terms without any further approval by You.

4. REMOVAL OF UGC

By agreeing to these Terms, You agree to promptly (and in any event within 24 hours of receipt of the request) remove any UGC featuring Our name, products, or other Brand Materials (defined below) from your social media accounts following written notice from Barebells. Notice delivered via e-mail, direct message, text message or in a designated channel (e.g., through Discord) shall constitute valid and sufficient notice for purposes of these Terms.

5. OWNERSHIP

We acknowledge and agree that You retain all right, title and interest in and to the UGC and Appearances, including all intellectual property rights, rights of publicity or privacy and moral rights therein, other than those rights granted herein, except for the Brand Materials, which shall remain exclusively owned by Barebells. For purposes of these terms, the "Brand Materials" means the trademarks, logos, product images, slogans, products, marketing materials, assets, product names, and other intellectual property of the Company.

6. PRODUCTS

In exchange for the rights and licenses granted herein, eligible participants may be offered the opportunity to receive Barebells products at no cost, as determined by us in our sole discretion. Receipt of products is not guaranteed. Product availability, selection, quantities, frequency and eligibility requirements may be modified, restricted, suspended, or discontinued by us at any time and without prior notice. Participants selected to receive products will receive such products in the quantities and types determined by us in our sole discretion. We reserve the right, in our sole discretion, to determine, modify, limit, or discontinue the number, type, and quantity of products provided to any participant, household, account, or address at any time.

7. FTC AND ENDORSEMENT DISCLOSURES

Any review, social media post, rating, testimonial, or other public communication relating to Barebells products must accurately reflect the participant's honest opinions, findings, beliefs, and experiences. Participants must clearly and conspicuously disclose their material connection to Barebells in any public communication regarding Barebells products, including by using disclosures such as "I received a free sample from Barebells", "Thanks Barebells for sending me this product for free", "I received this product for free from Barebells", or other disclosures sufficient to comply with applicable law. Participants may not make false, misleading, unsubstantiated, or deceptive statements regarding Barebells products, including, but not limited to, health, nutrition, performance, or other product-related claims.

In creating and submitting UGC, you agree not to (a) make comments or expressions on the health effects or characteristics of the products (so-called nutrition and health claims) and (b) not create, edit or publish content using artificial intelligence without clearly labelling such content in accordance with (i) applicable legal requirements the terms and conditions of the social media platforms on which such content is published, or (iii) any guidelines or recommendations published by the Federal Trade Commission or any other competent regulatory body or authority.

8. WARRANTIES

You represent and warrant that: (a) You have all rights and licenses necessary to grant to us the rights granted in the UGC and Appearances, including but not limited to rights to synchronize any master recording and or composition used to video, images, video, audio, photos, text, or other material embedded within the UGC, and You will pay any and all third parties who may be entitled to a royalty or fee (including public performance organizations) arising from the Licensed Use of any composition or master recording embedded within the UGC; (b) to the extent any third parties are visible in the UGC, You have obtained express consent from the Third-Parties to submit their likeness; (c) our use or sublicense of the UGC, Appearances, or Third-Party Materials as contemplated by these Terms will not infringe, misappropriate or violate a third party's intellectual property rights, rights of publicity or privacy, moral rights or any applicable law or regulation; (d) Your agreement to these Terms will not violate or conflict with any obligations owed by You to a third party; and (e) you will comply with all laws, rules and regulations applicable to these Terms.

9. INDEMNITY

You will indemnify, defend and hold Barebells harmless from and against any and all claims, demands, damages, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising from or related to: (a) breach of any of Your representations and warranties in these Terms; (b) any third party claim that the UGC or Appearances as submitted by You, or Barebells's use thereof, infringe, misappropriate or violate such third party's intellectual property or other third party rights and (c) any third party claim that you used unlicensed copyright as part of the submission of UGC.

10. LIMITATION OF LIABILITY

IN NO EVENT WILL BAREBELLS BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, USE OR OTHER ECONOMIC ADVANTAGE), REGARDLESS OF THE THEORY OF LIABILITY, ARISING FROM OR RELATED TO THESE TERMS OR BAREBELLS' USE OF THE CONTENT AND APPEARANCES, EVEN IF BAREBELLS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BAREBELLS' TOTAL, CUMULATIVE LIABILITY TO YOU ARISING FROM OR IN RELATION TO THESE TERMS AND THE SUBMISSION OF UGC WILL BE LIMITED TO ONE HUNDRED DOLLARS ($100). Notwithstanding the provisions of this Section 10, nothing in these Terms excludes or limits or purports to exclude or limit the liability of either party for: (a) death or personal injury resulting from negligence; (b) any damage or liability incurred by a party as a result of fraud or fraudulent misrepresentation by the other party; or (c) for any liability which cannot be excluded or limited by applicable law.

11. PRIVACY NOTICE (PROCESSING OF PERSONAL DATA)

In connection with these Terms, we will collect and process certain personal data about You. We are committed to processing Your personal data in a correct, respectful and secure manner. Please read on to find out more about what personal data that we process, what Your rights are and who to contact if You have any requests or questions. Under these Terms, we may process personal data such as Your name, social security number, address, e-mail address, telephone number, bank account number, clothing size, and social media usernames, as well as information from public sources, e.g. photos posted, number of posts related to Barebells and the number of followers on social media. If You submit UGC to us for any of the Licensed Uses, Barebells will also process and use photos and films on which You may be identified in the marketing of our products, trademarks and companies. The legal basis of the processing is to fulfill our rights and obligations under and the overall purpose of this Agreement. Where and to the extent necessary, Your personal data will be processed by employees of the Vitamin Well company group as well as with advisors, suppliers, partners and distributors. This means that Your personal data may be transferred to countries outside the United States in order to fulfill this Agreement. Your personal data will be stored for as long as it is necessary to fulfill the purpose of this Agreement, unless the Company are legally required or have a legal right to store the data for a longer period. Vitamin Well AB (Sturegatan 11, 114 36 Stockholm, Sweden) is the controller of the personal data. Please contact our Data Protection Officer at dpo@vitaminwell.com to access the personal data the Company processes about You, to request rectification or erasure of no longer relevant data or to ask for a transfer of Your data. You may also request that Company restrict the processing of its data but please note that such restriction may require us to terminate this independent contractor relationship with You. Please also note that a request to erase Your data will not include photos and films, as these materials will be used in accordance with these Terms, and other information we might have a right/must keep in accordance with applicable laws. You also have the right to lodge a complaint to the supervisory authority in its country.

12. GENERAL

These Terms will be governed by and construed in accordance with the laws of the State of Delaware, excluding that body of law known as conflict of laws. Any dispute, claim, or controversy arising out of or relating to these Terms or your participation in the Program will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its applicable Commercial Arbitration Rules (or Consumer Arbitration Rules, if applicable). The arbitration will be conducted in Los Angeles, California. You may not assign or transfer these Terms without our prior written consent, and any attempt to do so will be void. We may freely assign these Terms. The failure by either party to enforce any provision of these Terms will not constitute a waiver of future enforcement of that or any other provision. Any waiver, modification or amendment of these Terms will be effective only if in writing and signed by both parties. If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent possible and the other provisions will remain in full force and effect. These Terms is the complete and exclusive understanding and agreement of the parties regarding its subject matter, and supersedes all prior understandings and agreements between the parties regarding its subject matter. The parties to these Terms are independent contractors and these Terms will not establish any relationship of partnership, joint venture, employment, or agency between the parties.
